Artist Distribution Agreement

“DMG” refers to Dexotec Music Group SE and its subsidiaries. “Artist” refers to the individual or legal entity submitting content. “Recordings” include audio masters, artwork, metadata, and related materials. “DSPs” refers to digital platforms such as Spotify, Apple Music, YouTube, TikTok, and similar services. “Net Revenue” means revenue actually received by DMG after platform fees, taxes, chargebacks, and processing costs.

This agreement governs the non-exclusive digital distribution, monetization, administration, and optional promotion of the Artist’s Recordings by Dexotec Music Group SE and its partners. Submission via the Artist Portal constitutes full acceptance of these terms.

The Artist retains 100% ownership of all copyrights and master rights.

The Artist grants DMG a non-exclusive, worldwide license to distribute, monetize, host, and promote the Recordings and to use the Artist’s name, likeness, biography, and artwork solely in connection with such activities.

The Artist warrants that all submitted Recordings are original or fully cleared, that no third-party rights are infringed, that all contributors are properly credited and compensated, and that no conflicting agreements exist.

The Artist agrees to fully indemnify and hold harmless DMG from any claims, damages, penalties, legal costs, or takedowns arising from breach of warranties, copyright infringement, misrepresentation, or fraudulent activity.

Revenue is calculated from Net Revenue only. Payments are subject to DSP reporting delays. No advances are provided. Minimum payout thresholds may apply.

Revenue reports are provided as received from DSPs. DMG does not guarantee accuracy, completeness, or real-time availability. DSP adjustments and corrections may occur retroactively.

Artificial streaming, manipulation, or fraud is strictly prohibited. DMG reserves the right to remove content, withhold revenues, terminate access, and pass on any DSP penalties to the Artist.

All submissions must meet professional quality standards (WAV/FLAC, correct artwork, accurate metadata). DMG may reject or remove content that fails to comply. Metadata updates or takedown requests must be sent to inbox@dexotecmusicgroup.com.

DMG does not guarantee playlist placements, editorial features, marketing campaigns, or promotional results. Any promotional activity is optional and at DMG’s sole discretion.

This agreement is effective upon submission and continues until terminated by either party. Upon termination, DMG will initiate takedowns within up to 90 days. Earned revenues remain payable.

DMG is not liable for platform outages, takedowns initiated by DSPs, or indirect revenue losses. Total liability is limited to the amount paid to the Artist within the preceding 12 months.

DMG is not responsible for delays or failures caused by events beyond reasonable control, including technical outages, legal changes, or force majeure.

DMG may update this agreement at any time. Continued use of the Artist Portal constitutes acceptance of the updated terms.

This agreement is governed by the laws of Germany. Exclusive jurisdiction lies with the competent courts in Düsseldorf.

This agreement is written in English. In the event of translation, the English version shall prevail.
